1. Introduction

The platform www.liveseas.com is owned and operated by the company SEASLIVE LTD, with registered office at 128 City Road, London EC1V 2NX, United Kingdom, Company number 14547639, e-mail: info@liveseas.com.

Through the Platform, Users conclude distance contracts with the Company, which then supplies the Services to them, under the terms and conditions stated below.

2. Scope

These Terms of Use apply to the Users of the Platform, regulating the use of the Platform and governing the Services’ distance contracts. Therefore, the words "you", "your" and generally the use of the second plural form refers to any User and/or Visitor. The use of first plural form refers to the Company. Visitors should comply with the Terms of Use too, while browsing the Platform.

3. Definitions

Ø Company: The CompanySEASLIVE LTD ”.

Ø User or Seafarer: The person who creates an account and uses the Platform.

Ø User / Seafarer Account: Your account after being registered on the Platform.

Ø Visitor: The person who browses the Platform, without logging on an account.

Ø Employer: The shipping company or the manning agency which signs up and uses the Platform.

Ø Selected Employer: Any Employer who gains access to a User’s profile through the Platform.

Ø Platform: The website liveseas.com.

Ø Services: The services provided by the Company to the Users.

Ø Liveseas Agreement: The distance contract between the Company and the User for the use of the Services.

Ø Login Details: The User’s credentials that are set for authentication and allow the User to access the Platform.

Ø Terms of Use or Terms: These terms of use.

Ø Parties: Any Seafarer and Employer who choose to exchange information with each other.

Ø Consumer: Any natural person who is acting for purposes which are outside his trade, company, craft or profession.

4. Platform Description

The liveseas.com online platform is addressed to Seafarers and Employers for meeting and networking with each other and aims to bring both Parties in direct contact. At Liveseas we focus on the Seafarer!

Please note that Employers are subject to our Employer Terms of Service.

Through the Platform, the Seafarer can create a complete professional Seafarer’s profile, in order to approach interested Employers who are provided access to it. Only you have the initiative for any communication between the Parties. The Employers registered on the Platform can access the profiles of the Seafarers and obtain more information about them.

Both the choice of the Seafarer to make his/her profile visible to Employers and the choice of an Employer to gain access to the data of a Seafarer's profile do not create any obligation for the Seafarers and/or the Employers, no contract of any kind is automatically concluded between them and no liability or obligation of any kind arises at this stage. Furthermore, the Company shall not be obliged to participate in any way in the employment relations of the Seafarers with the Employers (appraisal / recruitment / employment of the Seafarer, etc.).

The Parties are free to communicate and contract with each other, and the Company's role is limited to providing the Platform and the Services to them.

5. User Registration

You must register on the Platform in order to use the Services. After registration you can use the Platform’s Services for free.

Visitors may only have restricted access to the Platform’s content. No Visitor can see the Users’ personal data.

To sign up for an account, use the available registration form, read and accept the Terms of Use and the Privacy Policy and click on "Create Account".

For your account’s and your personal data’s erasure, as well as for more information about your Personal Data, please read the Privacy Policy.

Users must fill in the registration form only with true and accurate information. Users are solely responsible for updating their account details, and the Company is exempted from liability for any damage to the User or a third party due to outdated information provided by the User.

6. Services

The Seafarer who wants to build his/her professional profile must fill out the requested information and create a personal User Account. After registration you may complete your profile by adding information. Your profile’s visibility to Employers depends on completion rate you achieve by filling in the information requested. Users need to accomplish a specified completion rate in order to be visible to Employers.

The Company reserves the right to adjust the profile completion rate needed, to grant visibility to Users.

The Employers may filter the available Seafarers’ Accounts of the Platform. You may also filter the registered Employers.

The Employers may pay a direct fee to influence their ranking while you search to which of them you will make your profile visible. We may also show you personalized results for Employers according to your professional experience and your preferences (preferred ship/country etc.).

Only the selected Employers can see your profile and your uploaded personal data. For more information read the Privacy Policy.

The registered Employers may pay a fee to access Seafarers’ Data or use a free plan. When you select to be visible to certain or all the Employers, any Employer may have access to your Account’s information depending on its subscription plan. You can see all the registered Employers, but you may select which of them can have access to your account information.

7. Terms of Services Provision

The Company is impartial towards the Users and provides each of them with the same promotion opportunities.

The Company may at any time introduce the possibility of preferential ranking of the User or enhanced promotion of his/her account to Employers.

The Company does not interfere or participate in any way in the pre-contractual / contractual / post-contractual relations of the Seafarers and Employers and in the formation of the terms of any contract between them.

The Company does not receive any kind of payment or commission fee for / from the conclusion of an employment contract or from the cooperation of the Parties in any other way.

The Services are provided to the Users free of charge. The Company reserves the right to change the way of the Platform’s operation and introduce charges to the Users for the Services only after prior notification, so you will not be charged unless you accept those charges.

8. Liveseas Agreement

The terms on which the Liveseas Agreement will be concluded, are the Terms of Use (General transaction terms), as supplemented by the applicable law and the Platform’s Privacy & Cookies Policies.

9. Internet Access

Use of the Platform requires internet access. You must ensure with your own diligence internet access. You are fully charged with any billing, by internet/access services providers, which using of internet involves, for the use of the Platform, either for receiving – sending data to the Company or for using a Service etc.

10. Notices

The Company reserves the right to send you important information regarding the Platform’s function, upgrades, improvements and modifications of the Services, amendments of the Services’ safety recommendations, advice for login problems, warnings in any case of breach of the Terms of Use or abuses, responses to your requests, changes to the Terms of Use and the Privacy Policy etc. Information is provided either on the Platform (pop-up) or via e-mail.

11. Device Requirements

For the use of the Platform a terminal device (Computer, tablet, mobile phone), which has the appropriate operating system (ex: Microsoft Windows, Apple MacOs, Android) as well as relevant Internet browser software, is required. Purchase, possession, supply, maintenance and repair of your terminal device are your responsibilities. The Company is not responsible for any inability / difficulty of your terminal equipment to access the Platform or to display the content of the Platform.

The Company does not provide any guarantee of compatibility and smooth operation of the Platform and does not provide the User with any kind of hardware.

12. Access and use of the Platform

Access to and use of the Platform by the User is governed by / subject to these Terms of Use. The Terms of Use apply to the use of the Platform and the Services. The Terms of Use constitute general transaction terms which are an integral part of the Liveseas Agreement. The Terms of Use operate to the fullest extent permitted by law. You agree to be bound by the Terms of Use while using the Platform.

Any User / Visitor before accessing, browsing and making any kind of use of this Platform (such us: registration, sending or saving information etc.), clearly, explicitly and unreservedly states that he/she fully accepts the Terms of Use, as well as any other term that may be inside the Platform, beyond this text, such as the Privacy Policy and the Cookies Policy which are incorporated into these Terms of Use. What applies for the Terms of Use also applies for any other term inside the Platform. Your unreserved accepting of the Terms of Use is required for accessing and using the Platform.

Please, read the Terms of Use carefully before you proceed to any action, interaction, access, transaction or use of the Platform, and comply therewith. In case you disagree with the Terms of Use, you are required to refrain from any use of the Platform.

You are advised not to sign up for a Seafarer Account to the Platform if you do not intend to work on a ship. Users are prohibited from having multiple personal accounts or impersonating another person. The Company reserves the right to delete any fake or duplicate accounts.

The Platform operates 24/7. The Company reserves the right to modify, suspend or discontinue the operation of the Platform and/or the Services, either for you or for all Visitors / Users, due to maintenance, improvements, updates, commercial policy, force majeure etc., at any time and with no prior notice.

Users must respect the provisions of laws which regulate the capacity for legal acts. For the use of the Services and any valid binding agreement with the Company, the contracting person must have full capacity to perform legal acts. Therefore, Users may conclude binding legal agreements with the Company as long as they are adults (at the age of majority – e.g. at least 18 years old) according to the applicable law and are allowed to work.

Any acts performed through the User’s account after login, fully bind the User, whether he/she logged in and used the Platform or someone else used his/her Login Details, with or without the User’s knowledge/consent/authority. Therefore, the Users are solely liable for the safety of their Login Details and any damage caused to the Company, to them or any third party by unauthorized use of their Login Details.

Users must not disclose their Login Details to third parties and must preserve their confidentiality. We advise our Users to notify us immediately in case that their Login Details are lost, leaked, stolen, intercepted and/or illegally used by an unauthorized person, so that we can help them recover/change said Login Details and protect both themselves and their personal data.

Users activate their account by following a link sent to the e-mail they have provided when signing up, therefore, the owner of a verified e-mail is deemed by the Company to be the person who uses the User’s account.

Visitors / Users must not try to bypass any technical and organizational or security measures that the Company has taken to ensure the Platform’s safety, use bots or software for intercepting other Users’ personal data kept by the Company and not store or process personal data for advertising or other purposes.

Visitors / Users are required not to use the Platform, its Services, registration/contact forms or any other means of expression through the Platform or Company’s social media accounts for the purpose of posting, disclosing, spreading information, data and generally any content that is illegal, unfair, undue, slandering and/or false, threatening, deceitful, coercive, abusive, provocative, insulting, obscene, vulgar, sulfurous, pornographic, or racist. Posted content that makes discriminations, breaches any kind of confidentiality, violates constitutional rights, offends childhood, professional reputation, privacy and is adverse to the law in general is also prohibited. Besides, Users / Visitors must not post commercials in any form and of any content, contests, third parties’ personal data, confidential information or trade secrets about the Company or its associates or other companies, spam messages, chain letters, unlicensed or other malicious software, content protected by the law of Copyright and/or Industrial Property.

Users / Visitors are strictly prohibited from interfering in the form, operation, services, content, databases and any other information that constitute this Platform, by using any mechanism, software, either malicious or not, process, either electronic or not, by sending harmful files such as viruses, spam messages, DDOS attacks etc. which may affect, harm, suspend, terminate and, generally, obstruct the Platform’s smooth operation or Users to log in, access and use the Platform, and endanger the provision of Services offered thereby. The Company reserves the right to pursue recovery of any damages incurred thereto by misconducts as the aforementioned and any liable person’s prosecution.

Visitors / Users may use the Platform only for the purposes it was built for. Users must not use the Platform for illegal and/or unfair purposes or for promoting illegal services or products. Users are liable for any damage incurred to the Company or third parties by any illegal act or use of the Platform.

Users are required to be very careful when entering personal data in the Platform (e.g. when creating an account). They must enter only information relating to them and not impersonate another or use information of other persons (e.g. contact details), unless specifically authorized to do so. The Company is not responsible for any damage from the violation of this term as well as for any malicious / careless / intentional or unintentional posting of other person’s data in the Platform by a User.

The Company provides only the Platform Services without any further involvement. Therefore, the Parties acknowledge and accept that they retrieve the information directly from any natural or legal person, who posted it, either automatically or upon request. The information posted on the Platform is stored and made available for the convenience of the Parties and each User retrieves the information on his/her own risk from the Platform’s database. Each User has full control over the information he/she posted and may at any time access, modify, correct, delete it, etc.

Users are obliged, when using the Platform, to accurately provide their full and true information required both for the conclusion of a valid contract with the Company, and in general for the use of the Platform.

Users / Visitors are required to abstain from any acts of slandering the Platform or the Company. Where the User could write a review (social media, Google Maps etc.), he/she must publish a true and objective review.

It is the responsibility of each Seafarer to check and confirm that he/she is qualified and licensed to work as a seaman. Each Seafarer solely bears the responsibility to confirm that he/she has the right, in accordance with the legislation applicable to him/her, to use the Services exactly as offered by the Platform. If the applicable law for a seafarer imposes conditions, restrictions and legal obligations on the Company that are inconsistent with the way the Platform operates, such Seafarer shall refrain from using the Platform or use the Platform only if he/she has the right to waive such protective provisions of the law, and the continued use of the Platform by a Seafarer shall imply his/her waiver of such protection.

If for the use of the Platform any applicable legislation requires you to comply with certain conditions / obligations, then you are fully and exclusively responsible to do so and if you are unable or unwilling to do so, please refrain from using the Platform.

Additional rights that may be granted to the Seafarer by any law may only be granted if they are consistent with the way of operation of the Platform as defined by the Company. Otherwise, you must immediately discontinue the use of the Platform and the Services.

13. Amendments to the Terms of Use

The Company reserves the right to modify the Terms of Use freely and unilaterally, as provided by law. Users must check whether the Terms of Use have been modified. Posting any new term, or any modification or annulment of any existing term on the Platform alone is enough to put it in effect for the future, without prejudice to any rights Users may already have by law or the Liveseas Agreement. You can check if there are changes to these terms by reviewing the date of the last update (Current version). In case you disagree with any change of the Terms, you may delete your account and refrain from any use of the Platform. Any continued use of this Platform after publication of new / modified terms, presupposes and confirms that you have read and accepted to be bound by the Terms of Use, as they apply, with the above indicatively described additions, modifications, interventions and annulments that may have been applied by the Company.

14. Breach of the Terms of Use

All the Terms of Use are essential. Any breach of these Terms by the User may incur penalties according to the applicable law and the User’s obligation to remedy any direct or incidental damage of the Company or any third party, that they may suffer due to the User’s illegal and/or adverse to the Terms of Use conduct. In case of any breach of the Terms of Use, the Company may ban the User from accessing the Platform, delete the User’s information posted in this Platform, with no prior notice, suspend the User’s account and exercise all rights provided by law. Failure or neglect by the Company to enforce at any time any of the provisions of the Terms of Use or the law, shall not be construed nor shall be deemed to be a waiver of its rights nor in any way affect the validity of the whole or any part of the Terms of Use and it does not affect the Company’ right to take subsequent action.

15. Limitation of liability

The Company constantly enhances the security level of the Platform, using programs against viruses and malicious software. Users are recommended to use software for protection from computer viruses, spyware, malware, ransomware, DDoS Attacks etc. while using the Services. The Company shall not be liable for any damages to the User’s hardware, software and/or data, as well as for any other damage incurred to Users or third parties by the aforementioned risks.

The Company shall not be liable for the content of websites to which Users are referred by links, banners, frames etc. inserted in the Platform. The Company shall not be liable for any damage incurred to Users by their visiting to such websites, as well as for any damage caused by risks appearing in online systems of services providers , entities advertised in this Platform, affiliates, or other collaborating companies, even if Users are referred to said websites by links, banners etc. on the Platform. The Company does not endorse these websites’ content and services and is not responsible for any damage or losses sustained by you or any harm caused to you by these websites / services. Liability and accuracy of the content / information, users’ safety / privacy and protection of their personal data and the quality of services provided is born solely by owners, managers and beneficiaries of said websites, which Users visit at their own risk.

The Company is released from any liability for any damage incurred to Users, obligation – whether contractual or not – towards Users, and from any direct or incidental claim by Users, if Users breach the Terms of Use, provide false, inaccurate and/or insufficient information or data required, develop misconduct while using the Platform, violate Users’ behavioral rules, either legal or contractual, fail to fulfill any obligations they have by law or the Liveseas Agreement.

The Company is not obliged to know whether any information provided by a User is true or not, and it considers the personal data provider as the real data subject. Users are obliged, when using the Platform, to provide only their personal data. The Company is not responsible for any damage to the User or to a third party caused by the unintentional or intentional provision of false / inaccurate data by the User. The Users bear the responsibility for their illegal acts concerning the process of other data subjects’ personal data.

The Company provides the Platform “as is” and as “available” with its specifications and limitations set by the Company. The Company does not provide any kind of warranty about the accuracy, functionality, durability, reliability, compatibility, quality, security and resistance to attacks and does not bear any responsibility for permanent or temporary malfunctions. The Company shall not be liable under any circumstances, towards the User or any third party, for any direct, indirect positive damage or loss of profits / income from the use of the Platform or from any use of the Services, provided that it fulfills its legal obligations.

Employers listings and the information they post (services, jobs, salaries, slips, facilities, etc.) on the Platform do not imply our approval or endorsement of the content published by each Employer, either directly or with our help.

The Company bears no responsibility for any damage you may suffer due to your reliance on any information posted by the Employers. You must evaluate any information available on the Platform and under no circumstances do we guarantee that this information is not obsolete, inaccurate, or misleading.

The Company has no obligation to examine whether the Employers are operating legally and have the necessary operating licenses. The Company does not control, has no obligation to know, makes no promises, provides no guarantees and bears no responsibility for the quality, safety, characteristics, availability and any other attributes of the services and/or products of the Employers. The Company does not guarantee and is not responsible for the compliance of the Employers with the relevant legislation.

The Company shall not be liable for the obligations of the Parties towards the law and any State (social security legislation, labour/tax legislation etc.) from any contract between them. The Company does not verify, know, nor does it guarantee or promise the safety of the Employers' facilities, employment conditions, working hours and wages of the jobs offered. The Company is not responsible for the condition of the facilities, ships, offices, legality of the cargos etc. of the Employers, for compliance with safety and health regulations. The sole responsibility for the above lies with the Employers. The Company, therefore, does not guarantee the safety, health and work of the Seafarers and is not liable for any damage to them from any cause whatsoever during the provision of their services to an Employer (indicatively loss of income, loss of profits, unpaid wages, accident, injury, poisoning, sickness, death, loss of earnings, damage from visiting facilities / sites, use of defective equipment or misuse of equipment, failure to comply with health and safety rules, dismissal, industrial accident, unemployment, war, etc.).

The Company does not advise Employers on the selection of Seafarers or the Seafarers on their professional development. The Company does not participate in recruitment/employment decisions. The Company, other than the provision of the Services, has no involvement or participation, in any manner whatsoever, in any communication, understanding, negotiation, conciliation, agreement, contract, financial transaction, and any other type of interaction or pre-contractual / contractual / post-contractual relationship and any preparatory or other action between the Parties.

The Company does not enter Seafarers' employment contracts or employee lease contracts. The Company is not informed, has no obligation to know, does not know and does not seek information about the result of any communication and/or negotiation between Employers and Seafarers and is not a party to any employment or other type of contract between the Parties.

The Company does not interfere in the formulation of the terms of employment between the Parties (e.g. hours, wages, etc.). The Company does not receive any kind of payment or commission fee for / from any employment contract or any other form of cooperation between the Parties. The Company does not promise that the use of the Services will lead to your employment and is not liable in any way or to anyone for the results of the use of the Platform Services.

The Company expressly declares and each Seafarer / Employer accepts that the Company has no obligation: 1) to get involved in out-of-court actions or litigation between the Parties regarding their relations between them, 2) to take the side of any of the Parties, 3) to get involved in any dispute of the Parties, 4) to support any claim of the Parties, 5) to intervene in a lawsuit in favor of any of the Parties, 6) to answer requests / questions of the Parties concerning the employment relationship between them.

The Company shall not be liable for any damage caused to the User or a third party, such as property damage, loss of money or work, lost profits / revenues, personal injury, health damage, death, moral damage or mental anguish, emotional distress and any claim that may arise between the Parties.

The Company is not responsible for any damages of the User, due to his/her inappropriate choice of Services, false order / notice to the Company etc.

The Company has no general obligation when providing the Services, to monitor the information which the Users / Employers transmit or store on the Platform, nor a general obligation to actively seek facts or circumstances indicating illegal activity. The Company is exempted from any liability for any content posted in the Platform by the Users and/or the Employers.

The Company bears no responsibility for the loss of any data hosted on its servers. Each User has the sole responsibility for keeping a backup copy of the information he/she posts on the Platform.

The Company bears no responsibility for any damage of any nature whatsoever, resulting from your access and use of the Platform and/or the Services and/or for any loss or damage of any kind incurred because of the use of any content posted, transmitted, or otherwise made available via the Platform.

The Company’s posting of the Terms of Use and their content may not cause any liability for the Company greater than the one provided by law.

16. Force majeure

The Company shall not be liable for any delay or failure to fulfill its contractual obligations if this delay or failure is due to incidents of force majeure. Cases of force majeure constitute especially these incidents: social unrest, revolution, armed conflict, war, nuclear explosion or contamination, famine, earthquake, fire, accidents, flood, strikes, epidemic, pandemic, extreme weather phenomena and natural disasters, strikes, state restrictions, interruptions or malfunctions of electricity or telecommunications or of the hosting or internet service provider, cyber-attacks, theft, robbery and/or vandalism to the Company's computer systems / networks, terrorist attacks, ransomware, hardware / software errors and problems etc. Users agree that the Company bears no liability for any damages or losses incurred to them due to incidents of force majeure.

17. Governing law

The Liveseas Agreement is governed by and interpreted following the laws of United Kingdom. However, European residents - Consumers also possess the protection provided by the mandatory law of their country of residence. The applicable law governs the Company’s activity quality and content of the Platform and any disputes arising from the Liveseas Agreement or by law.

18. Dispute Resolution

Any dispute between the Company and the Users or third parties, from the use of the Platform, will be resolved through friendly negotiations between them. If any dispute cannot be resolved through friendly negotiations within a maximum of two (2) months, the Company and the Users also agree to participate in any other arbitration, mediation, or other alternative dispute resolution proceedings available for such disputes.

If any dispute cannot be resolved by these procedures within a maximum of three (3) months, any lawsuit, action, or proceeding arising out of [or related to] the use of the Platform or the Liveseas Agreement shall be heard exclusively in the courts of London, United Kingdom and you irrevocably submit to the jurisdiction of such courts in any such lawsuit, action, or proceeding, without prejudice to any exclusive jurisdiction provided by the mandatory law of your country of residence.

19. Copyright

The Company retains all intellectual / industrial property rights of all the Platform’s content that consists of texts, images, videos, drawings, photographs, graphics, designs, logos and trademarks, computer animation, software, databases, music and audiovisual extracts, advertising pictures and slogans, source code etc.

Distinguishing features, as well as the whole content of the Platform, are further protected under the provisions of unfair competition and industrial property law.

Especially, as to the Platform’s databases, temporary or permanent reproduction of these databases, by any means and in any form, in whole or in part, translation, adjustment, arrangement or any other modification of these databases, any kind of distribution of the databases or their copies to the public, any disclosure, display, purchase or presentation of these databases to the public, uploading, storing and exporting databases, downloading, posting on another website, posting on the internet and any other processing and commercial use, are forbidden without the Company’s permission.

The automated (e.g. through web scraping, web harvesting, web data extraction) or manual collection and storage of information contained in the databases of the Platform or the mass / systematic downloading of information by the Platform for any use are also forbidden, without prejudice to any rights granted to you by the Company.

The domain name liveseas.com has been duly registered by the Company, which has the exclusive right to use it and forbids any third party to register an identical or similar domain name.

You may use the Platform as the Company permits and only under the options and restrictions set by the Company (AS IS). Therefore, you do not have the right to reverse analyze or reverse compile the Platform, to bypass in any way its limitations and to intervene in its source code. Also, you do not have the right to copy, publish, distribute, lease, exploit, lend, sale, transfer the Platform and any other action that exceeds the license to use it, that you are granted.

By accepting these Terms of Use you are granted, by the Company, a license to use the Platform. With this license assignment, you acquire a personal, limited and non-exclusive right to use the Platform. You cannot assign, lease, transfer or grant a third party this right. You do not acquire the Platform or its content, but only the right to use it, in accordance with the applicable legislation. You may store and use information about Employers solely for personal, non-commercial use.

The Employers whose trademarks - brands and other intangible assets are displayed on the Platform, are the exclusive owners and beneficiaries of all intellectual and industrial property rights on all these assets, and the display of these assets on the Platform is allowed only after the registration of each Employer on the Platform and no User has the right to challenge the rights of the Employers on them.

The infringement of the Company’s or a third party’s Intellectual Property results in the obligation of the responsible User to compensate for any damage caused to the Company or a third party. The Company in case of infringement of its Intellectual Property rights, may ban the User from the Platform, delete his/her account and exercise all its rights provided by the law.

All CVs uploaded to the Platform and their content are Seafarers’ intellectual property. Seafarers grant to the Company an eternal, worldwide, royalty-free and irrevocable right to store, classify, display, create links, and make available these CVs on the Platform and especially to the selected by them Employers.

20. Feedback

We aim for the continuous improvement of the Platform. We encourage Users to send us their suggestions and comments about the operation of the Platform.
